The terms governing our website, proposals, projects, subscriptions, payments and delivery of services.

Every project works better when scope, payment, responsibilities, ownership and delivery expectations are understood from the beginning.

Agreement: By using this website, accepting a quotation or proposal, placing an order, paying an invoice or authorising SoftWorX Global to begin work, you agree to these Terms & Conditions together with any project-specific written agreement.

1. About these terms

These Terms & Conditions apply to SoftWorX Global's website and to services supplied by us unless a separate written contract states otherwise. Project proposals, quotations, statements of work and service plans may contain additional terms. If a project-specific written agreement conflicts with these general terms, the project-specific agreement will apply to that project to the extent of the conflict.

2. Services

SoftWorX Global may provide custom software development, websites, mobile solutions, ERP/POS systems, integrations, UI/UX design, branding, digital marketing, consulting, maintenance, hosting, subscriptions and other technology or business services.

Features, deliverables, timelines and support included in a project will be determined by the applicable quotation, proposal, service plan or written scope.

3. Quotations, proposals and scope

Unless otherwise stated, quotations are based on the information available when they are prepared and may have an expiry date. Work outside the agreed scope, additional revisions, new functionality, data migration, integrations or changes requested after approval may require additional fees and/or delivery time.

We may request written approval before proceeding with material scope changes.

4. Prices and payments

Fees, deposits, milestones, recurring charges and payment dates are stated in the applicable quotation, invoice or service plan. Payments must be made using an accepted payment method and within the stated due date.

Where a project requires an advance payment or deposit, work may begin only after the required payment is received. We may pause delivery, hosting, support or access to a service if an undisputed payment remains overdue after reasonable notice.

Refunds and cancellations are governed by our Return, Refund & Cancellation Policy.

5. Delivery and timelines

We aim to meet agreed timelines, but delivery dates may depend on client feedback, content, approvals, third-party services, integrations and other dependencies. Unless expressly guaranteed in writing, stated timelines are reasonable estimates rather than absolute deadlines.

Delays caused by missing client information, late approvals, changed requirements or third-party issues may extend the delivery schedule.

6. Client responsibilities

Clients are responsible for providing accurate requirements, authorised content, timely feedback, access credentials and approvals reasonably necessary to complete the work. You confirm that you have the right to provide any text, images, logos, databases, personal data or other materials supplied to us.

You are responsible for reviewing deliverables and reporting material issues within the review or acceptance period stated in the applicable project agreement.

7. Intellectual property and licences

Unless otherwise agreed in writing, SoftWorX Global retains ownership of its pre-existing tools, frameworks, libraries, reusable components, know-how, methods and internal development assets. After full payment, the client receives the ownership or licence rights to project-specific deliverables described in the applicable proposal or agreement.

Third-party software, fonts, plugins, APIs, stock assets and open-source components remain subject to their respective licences and terms.

8. Confidentiality and data

Each party should use reasonable care to protect confidential business information received from the other party and use it only for the intended project or service. Personal information handled through our website and business operations is addressed in our Privacy Policy.

9. Third-party services

Some solutions depend on third-party platforms such as hosting providers, domain registrars, payment gateways, messaging providers, maps, cloud services, social networks, APIs or app stores. Availability, pricing and functionality of those third-party services are outside our direct control and may be governed by separate terms.

10. Warranties and support

We will use reasonable skill and care in delivering agreed services. Any warranty, bug-fix period, maintenance coverage or service-level commitment will be defined in the relevant proposal or plan. Issues caused by unsupported modifications, third-party failures, misuse, compromised credentials or environments outside our control may fall outside included support.

11. Limitation of liability

To the maximum extent permitted by applicable law, SoftWorX Global will not be liable for indirect, incidental, special or consequential loss, including loss of profit, revenue, goodwill, business opportunity or data, arising from use of our website or services. Where liability cannot legally be excluded, our aggregate liability relating to a specific paid service will normally be limited to the amount paid to SoftWorX Global for that service during the relevant claim period, subject to applicable law.

12. Suspension and termination

Either party may terminate a service in accordance with the relevant proposal, subscription plan or written agreement. We may suspend or terminate access where necessary for security, unlawful activity, material breach, abuse of services or persistent non-payment, subject to any applicable notice requirements.

13. Changes to these terms

We may update these Terms & Conditions to reflect changes in our services or legal and operational requirements. The current version will be published on this page with its effective date.
